Terms of Service
1. Introduction
These Terms of Service ("Terms") govern access to and use of the PolarCurve website at polarcurve.us and any services provided by PolarCurve LLC ("PolarCurve", "we", "us"), unless a separate signed agreement applies. By accessing this website or engaging our services, you agree to these Terms. If you do not agree, do not use the website or services.
2. Company identity
PolarCurve LLC is a limited liability company formed in Wyoming, United States. Formal legal identifiers (such as registration or tax identifiers) are available to counterparties where required for contracts, invoicing, tax, banking, or compliance purposes, on request.
3. Services
PolarCurve provides SaaS strategy, design, development, launch support, maintenance, and related software services. PolarCurve may also design and operate its own SaaS products, which may be governed by product-specific terms.
4. Separate agreements
Client engagements may be governed by a proposal, statement of work, master services agreement, or other signed contract. If a signed agreement conflicts with these website Terms, the signed agreement controls for that engagement.
5. Acceptable use
You may not misuse the website, attempt unauthorized access, submit unlawful material, interfere with systems, or use PolarCurve services for illegal, deceptive, abusive, or harmful activity.
PolarCurve does not build or operate products intended for unlawful activity, fraud, phishing, malware, deceptive marketing, money transmission, cryptocurrency exchange or trading, gambling, or adult content. Regulated or high-risk sectors are reviewed case by case and may be declined. PolarCurve does not provide services to sanctioned jurisdictions or to parties prohibited under applicable U.S. and international law.
PolarCurve is a software studio. It is not a bank, payment processor, money transmitter, payment facilitator, escrow provider, or lender, and it does not hold or transmit customer funds on behalf of others.
6. Client responsibilities
Clients must provide accurate information, timely feedback, required access, lawful content, and rights to any materials they provide. Clients are responsible for their own business, legal, regulatory, and industry-specific obligations unless expressly agreed otherwise.
7. Fees and payment
Fees are defined in the relevant proposal, invoice, order form, or product checkout. Late payments may be subject to suspension of work or services. Taxes are the client's responsibility unless otherwise required by law.
8. Intellectual property
PolarCurve retains rights to pre-existing tools, frameworks, know-how, reusable components, internal methods, and portfolio products. Client ownership of deliverables depends on the signed agreement and completion of payment. In the absence of a signed agreement, these website Terms do not assign broad intellectual property rights.
9. Third-party services
SaaS products may rely on hosting providers, payment processors, analytics services, email providers, authentication providers, or APIs. PolarCurve is not responsible for outages or policy changes by third-party services outside its control.
10. Confidentiality
Each party will protect the other's non-public business, technical, or product information disclosed in connection with the relationship. Stronger confidentiality terms may be included in client agreements.
11. Disclaimers
Website content is informational. PolarCurve does not guarantee commercial results, fundraising outcomes, revenue, approval by third-party platforms, or uninterrupted third-party services. The website and services are provided on an "as is" and "as available" basis to the extent permitted by law.
12. Limitation of liability
To the maximum extent permitted by law, PolarCurve's aggregate liability arising out of or relating to the website or a service engagement is limited to the amounts paid for the relevant service during a defined period, as set out in the applicable agreement.
13. Termination
PolarCurve may suspend or terminate access for non-payment, misuse, legal risk, or breach. Client termination of an engagement follows the relevant engagement terms.
14. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, unless a separate agreement states otherwise.
